  1. CONTEST PERIOD: The “TD Mobile App ReTweet” Contest (“Contest”) ends on Thursday, May 5, 2011 at 10:00:00 a.m. Eastern Time (“Contest End Date”). The Sponsor for this Contest is The Toronto-Dominion Bank (“TD”).

  2. ELIGIBILITY: The Contest is open to any individual Twitter, Inc. (“Twitter”) user who is a legal resident of Canada except Quebec and who is of the age of majority in their Province/Territory of residence at the time of entry into the Contest. Employees, agents and representatives of TD or its subsidiaries and affiliates, or of its advertising and promotion agencies or their subsidiaries and affiliates, are not eligible to win, nor is any person with whom any such employee, agent or representative is domiciled.

  3. HOW TO PARTICIPATE: Entrants: “Entrant” means the person who is the owner of an @username on Twitter (“Twitter Handle”). To enter
    To enter the Contest, “retweet” the specified @TD_Canada handle posting (the “Message”) before the Contest End Date. To “retweet” a Message:

    • • click on “retweet” OR
    • • copy the Message into your Twitter status bar and preface it with “RT@TD_Canada” (ie. enter “RT@TD_Canada (Message)” in your status bar).

    No purchase is necessary. The @TD_Canada Twitter Handle Message will be available to all Twitter users. There is no cost to become a follower of the @TD_Canada Twitter Handle, or to enter the Contest. The Contest is in no way sponsored, endorsed or administered by, or associated with, Twitter. Any questions, comments or complaints regarding the promotion should be directed to TD, not Twitter.

  4. ENTRIES: Entries to the Contest are limited to a maximum of one (1) entry per person, and any Entrant may use a maximum of only one (1) Twitter Handle to participate. If it is discovered that you attempted to enter more than once, by using one (1) or more Twitter Handles, all your entries will be void.

    TD is not liable if any Entrant’s Twitter Handle is suspended by Twitter for any reason whatsoever. Such Entrant will also be disqualified from this TD-sponsored Contest.

  5. PRIZE: There is one (1) prize (the “Prize”), consisting of ONE THOUSAND Canadian dollars (CDN$1,000) available to be won. The Prize will be awarded via a TD Canada Trust bank draft. Entrants may be required to confirm their identity.

  6. CONTEST DRAW DATE: A draw will be held in Toronto, Ontario at 2:00 p.m. Eastern Time on Monday, May 9, 2011 (the “Draw Date”). Odds of winning depend on the number of eligible entries received.

  7. PRIZE AWARDING: The Prize will be awarded only upon verification that all Contest requirements have been met by the winner. The Prize must be accepted as awarded and no substitution, transfer, conversion or assignment of Prizes will be allowed, unless at the discretion of TD which may substitute a Prize of comparable or greater value. No correspondence will be entered into except with the selected Entrant.

    The selected Entrant will be contacted by way of private message on Twitter (‘Message”) via their Twitter Handle. The selected Entrant will be required to contact TD via Message to provide contact information (full name, email address, telephone number and mailing address). The selected Entrant will have forty-eight (48) hours from the time TD contacts the selected Entrant’s Twitter Handle, to contact TD via Message in order to satisfy any Contest requirements. If a Message is not received by TD within the prescribed time, TD reserves the right to void that entry and select another eligible Entrant for the Prize.

    In order to be declared an official winner, the selected Entrant must correctly answer a skill-testing mathematical question without mechanical or other assistance. The selected Entrant will be required to complete, sign and return to TD, a Declaration and Release Form within three (3) days of receipt. The Declaration and Release Form must be signed by the Entrant. If the selected Entrant fails to complete, sign and return the Declaration and Release Form to TD within three (3) days and/or provides an incorrect answer to the skill-testing mathematical question, TD reserves the right to void that entry and select another eligible Entrant for the Prize. By completing, signing and returning the Declaration and Release Form, the Entrant (i) confirms compliance with these Contest Rules, (ii) releases and forever discharges TD, its affiliated companies, advertising and promotional agencies from all claims, demands, damages, actions and causes of action arising or to arise by reason of the acceptance or use of the Prize, and (iii) gives permission to TD, at its option, to publish or otherwise use the Entrant’s name, address, photograph, Twitter Handle, voice and comments, without compensation, in any publicity carried out by TD or its advertising agencies.

  8. CONTEST GENERAL RULES: By entering the “TD Mobile App ReTweet” Contest Entrants agree to abide by these Contest Rules and the decisions of TD, which are final. In additions, all Entrants agree to be bound by Twitter’s “Terms of Service and “Twitter Rules”. TD, in its sole discretion, reserves the right to disqualify any Entrant it finds to be in violation of these Contest Rules, Twitter’s “Terms of Service”, or “Twitter Rules”.

    TD and Twitter will not be responsible for late, lost, invalid, illegible, delayed, incomplete, stolen, or misdirected retweets/entries/prize claims. All entries/prize claims become the property of TD, and will not be returned. No telephone contact or correspondence will be entered into except with the selected Entrant(s) and confirmed winner.

    TD and Twitter shall in no way bear any liability whatsoever regarding the Prize. In no event shall TD nor Twitter be liable for any special, incidental, consequential, indirect or punitive damages arising out of or in connection with the TD Twitter Handle, this Contest and/or the Prize, however arising, including negligence.

  9. DISQUALIFICATION: TD and Twitter are not responsible for lost, interrupted or unavailable network server or other connections, miscommunications, failed telephone or computer or telephone transmissions or technical failure, jumbled, scrambled or misdirected transmissions, or other error of any kind whether human, mechanical or electronic. Persons found tampering with or abusing any aspect of this Contest, as determined by TD will be disqualified. In the event any portion of this Contest is compromised by virus, bugs, non-authorized human intervention or other causes beyond the control of TD, which, in the sole opinion of TD, corrupts, or impairs the administration, security, fairness or proper entry into the Contest, TD reserves the right, at its sole discretion, to suspend or terminate this Contest.

  10. LITIGATION: For residents of all other Provinces/Territories outside Quebec, any litigation must be commenced in the City of Toronto, Ontario.

  11. APPLICABLE LAWS: This Contest is subject to all applicable federal, provincial and municipal laws.

  12. PRIVACY: By entering this Contest, you consent to the collection, use and sharing of information about you with TD for the purpose of administering this Contest in accordance with the TD Privacy Code at “Tweets”, including Twitter @Replies, are public. Your use of Twitter is subject to Twitter’s Privacy Policy.
