Commerce

On March 31, 2008, TD Bank Financial Group (TDBFG) acquired 100% of the outstanding shares of Commerce Bancorp, Inc. (Commerce), which was then a public company, and Commerce became a wholly-owned subsidiary of TDBFG.

On May 31, 2008, Commerce Bank N.A., Commerce Bank/North and TD Banknorth merged to become TD Bank N.A. (known as TD Bank, America’s Most Convenient Bank). Their operations are reported in the U.S. Personal and Commercial Banking segment for TDBFG.

TD Banknorth

On April 20, 2007, TD Bank Financial Group (TDBFG) completed its privatization of TD Banknorth. On closing, TD Banknorth became a wholly-owned subsidiary of TDBFG, and TD Banknorth’s shares were delisted from the New York Stock Exchange.

On May 31, 2008, TD Banknorth, Commerce Bank N.A. and Commerce Bank/North merged to become TD Bank N.A. (known as TD Bank, America’s Most Convenient Bank). Their operations are reported in the U.S. Personal and Commercial Banking segment for TDBFG.
