TD Bank Financial Group

Headquartered in Toronto, Canada, with 74,000 employees in offices around the world, The Toronto-Dominion Bank and its subsidiaries are collectively known as TD Bank Financial Group (TDBFG). TD Bank Financial Group offers a full range of financial products and services to approximately 17 million customers worldwide through four key business lines:

Canadian Personal and Business Banking including TD Canada Trust

Wealth Management including TD Waterhouse and an investment in TD Ameritrade

Wholesale Banking including TD Securities

As of January 31, 2008, TD Bank Financial Group had CDN $435 billion in assets. TD Bank Financial Group also ranks among the world’s leading on-line financial services firms, with more than 4.5 million on-line customers. The Toronto-Dominion Bank trades on the Toronto and New York stock exchanges under the symbol "TD", as well as on the Tokyo Stock Exchange.

The Toronto-Dominion Bank is a chartered bank subject to the provisions of the Bank Act (Canada). It was formed on February 1, 1955 through the amalgamation of The Bank of Toronto, chartered in 1855, and The Dominion Bank, chartered in 1869.

TD Insurance

TD Canada Trust is TD Bank Financial Group's customer-focused personal and business banking business. Serving more than 10 million customers nationally, TD Canada Trust provides a full range of financial products and services through its retail branch network comprised of over 1,100 branches, telephone and Internet banking, and through access to more than 2,500 ‘TD Green Machine’ automated banking machines.

TD Canada Trust Business Banking is comprised of Commercial Banking, Small Business Banking, Agriculture Services and Merchant Services and serves the unique needs of large and small Canadian businesses. By offering a broad range of customized products and services, TD Canada Trust helps business owners meet their financial goals. Business banking needs can be handled over the telephone, via the Internet or at any TD Canada Trust branch. Experienced Commercial Banking Relationship Managers and Small Business Advisors are also available to provide one-on-one service and advice.

Under the TD Insurance brand, TD offers a broad range of insurance products, including home and automobile coverage, life and health insurance, as well as credit protection coverage on TD Canada Trust lending products.

Wealth Management

TD Waterhouse Canada, TD Waterhouse UK, TD Wealth Management, TD Asset Management and TDBFG's investment in TD Ameritrade

Globally TD Waterhouse provides investors and financial advisors with a broad range of brokerage, mutual fund, banking and other consumer financial products on an integrated basis. In Canada, TD Waterhouse consists of:

TD Waterhouse Discount Brokerage which gives clients access to the information, tools and support that empower them to invest for themselves with confidence.
TD Waterhouse Private Client Services, including TD Waterhouse Private Investment Advice, a full-service brokerage for investors who want a high level of tailored advice and solutions from an experienced Investment Advisor; and TD Waterhouse Private Investment Counsel, which provides discretionary wealth management for high net worth clients
TD Waterhouse Financial Planning allows clients to work with a professional Financial Planner to develop and implement an investment strategy and long-term financial plan.

In the U.S., TD Ameritrade provides a full spectrum of services for U.S. individual investors including an active trader program, long-term investor solutions, a national branch system, as well as relationships with one of the largest networks of independent registered investment advisors.

TD Mutual Funds:
TD Asset Management Inc. -

TD Asset Management Inc. ("TDAM"), a member of TD Bank Financial Group and part of the TD Wealth Management group of companies, is one of Canada's largest asset managers. As of January 31, 2008, TDAM managed approximately $54.8 billion CDN in retail mutual funds on behalf of more than 1.4 million investors. In total, TDAM and its affiliates manage approximately $167 billion CDN for mutual funds, pension funds, corporations, institutions, endowments, foundations and high net worth individuals.

As a leading corporate and investment bank, TD Securities provides a wide range of capital market products and services to corporations, governments and institutions. TD Securities works with clients around the world, and our services include the underwriting and distribution of new debt and equity issues, providing advice on strategic acquisitions and divestitures, and executing daily trading and investment needs.

U.S. Personal and Commercial Banking

TD Commerce Bank

As a result of TD Bank Financial Group’s acquisition of Commerce Bancorp Inc. on March 31, 2008, the operations of TD Banknorth and Commerce Bank will be combined under the brand name TD Commerce Bank, America’s Most Convenient Bank.* Conversion of retail locations to TD Commerce Bank is expected to be completed in 2009. In the meantime, TD Banknorth and Commerce Bank continue to serve customers at nearly 1,100 Stores in the U.S. from Maine to Florida.

TD Banknorth

TD Banknorth traces its roots in the U.S. to 1852 with the opening of the Portland Savings Bank in Portland, Maine. Today, TD Banknorth is one of the 25 largest commercial banking organizations in the U.S. The Bank has an extensive retail banking network consisting of nearly 600 branches in Connecticut, Maine, Massachusetts, New Hampshire, New Jersey, New York, Pennsylvania and Vermont.

Commerce Bank

Commerce Bank, "America's Most Convenient Bank," is a leading retailer of financial services, with more than 470 stores offering seven-day a week banking and convenient hours. The Commerce Bank network spans the metro areas of New York, Philadelphia and Washington, D.C., as well as Southeastern Florida.
