Changes to your TD Merchant Solutions Terms and Conditions
As noted in your September 2025 Merchant Statement we recently sent to you, your current TD Merchant Solutions Terms and Conditions, which form an important part of your Agreement with us, will be replaced with the revised version referred to below effective November 14, 2025.

Please note the information below provides only a summary of the changes we've made to your Agreement. It is your responsibility to read the full Agreement, including the revised Terms and Conditions, in order to understand your and our rights and obligations.

Code of Conduct References |
The Code of Conduct for the Payment Card Industry in Canada (the “Code of Conduct”) provides merchants with various disclosure, notification and cancellation rights in respect of their merchant services agreements. The Code of Conduct was updated, including the following changes: · The name of the Information Summary Box was changed to “Summary of Key Elements of the Agreement” · The name of the Fee Disclosure Box was changed to “Cost Per Transaction Disclosure” · Notice periods for fee changes and cancellation rights have been updated · Definitions for different categories of fees have been introduced We have updated the Agreement to reflect the updates made to the Code of Conduct. There have been updates made throughout the Agreement, but primarily in Sections 15.1, 18.1(b) and 18.7.2, and new definitions have been added in Section 23. |

Account Statements |
We have clarified (in Section 16.1) that account statements will be provided electronically, unless merchants request paper statements. There will be a charge for paper statements, as set out in the Fee Schedule. |

Online Servicing Portal |
We now refer to our Online Reporting Service as our “Online Servicing Portal”, to reflect the broader functionality of the online portal. We have clarified (in Section 16.4) that merchants are now required to enroll for the Online Servicing Portal in order to access statements and other Merchant Account information. |

Security Standards |
We have updated the references to applicable security standards, and clarified that when we notify a merchant of a confirmed or suspected breach of data, we or the relevant Payment Card Network may require that the merchant’s Electronic Commerce Facilities be assessed by a qualified PCI Forensic Investigator (PFI) (see Sections 19.8 and 19.9). |

Assignment |
We may assign certain merchant Agreements to Fiserv Canada Ltd. (“Fiserv Canada”). We have clarified in the Agreement (Section 22.4.1(a)) that if you have received a separate notice from us of such assignment, then TD will continue to provide you with the Merchant Services on behalf of Fiserv Canada during a transition period, as explained in the notice. While certain communications and documents provided to you during this transition period may include TD's name and logo, the Agreement will be with Fiserv Canada as of the date of assignment set out in the notice. |
