Choose the right structure for your business

The business structure you choose influences your day-to-day operations, including the tax rules and regulations applicable to you or your business. There are various ways to structure your business in Canada, each with their benefits and considerations. Three common small business types are sole proprietorship, partnership, and corporation.

Each business structure in Canada may be governed by applicable provincial or federal laws. It is your responsibility to ensure that you are compliant with all applicable laws when creating and operating your business.

  • Sole Proprietorship

    • The owner of a sole proprietorship has sole responsibility for making business decisions, receives all the profits, is personally responsible for all liabilities and does not have separate legal status from the business.  
    • The risks and liabilities can even extend to your personal property and assets.
  • Partnership

    • Typically, agreement between two or more individuals, corporations, trusts, or partnerships that oversee the business.
    • Partnership agreement determines how profit and expenses are shared, and responsibilities for the business’s obligation. 
    • Obligations and liabilities of the business may cover other terms.
  • Corporation

    • Separates the business from its owners 
    • This setup may offer tax benefits and limited liability protection.  
    • Requires more paperwork, ongoing legal and accounting costs, etc.
