TD Direct Investing is offering a single Initial Transfer Award and a single Ongoing Transfer Award (as described below) to any qualifying new TD Direct Investing client, who is an alumnus of the University of Guelph and of age of majority in their province or territory at the time of opening TD Direct Investing account(s).

Initial Transfer Award Details:

To qualify for the Initial Transfer Award, a client must:

1. Open a NEW TD Direct Investing account ("New Account") using the promocode "DI-UGUELPH". The account type opened must be a: Cash (single, corporate, or joint account holder), Margin (single, corporate, or joint account holder), Tax Free Savings Account single account holder (TFSA), Registered Retirement Savings Plan single account holder (RRSP). Locked-in registered, Registered Education Savings Plans (RESPs)², Retirement Income Funds (RIFs) and Registered Disability Savings Plan (RDSP)² accountsdo not qualify for this offer. If an account is opened in branch or over the phone, clients must request that a TD representative register the client for the offer using the promo code.

2. Transfer into the New Account $3,000 or more in investable assets or cash from another Canadian financial institution(s) or a TD Canada Trust account ("Qualifying Assets") within 90 days (3 months) of opening of first account noting:

a. The Qualifying Assets must be in the New Account(s) by no later than 90 days (3 months) of opening of first account:

b. Transfers originating from pre-existing TD Direct Investing, TD Easy Trade™, TD Wealth Financial Planning, TD Wealth Advice Connect, TD Wealth Private Investment Advice, TD Wealth Private Trust and TD Wealth Private Investment Counsel accounts are not included in the Qualifying Assets.

c. Investable assets exclude any securities that are restricted, subject to a cease trade order or that are non-listed and without independent evidence of current value acceptable to TD Direct Investing.

d. Qualifying Assets will be measured according to the combined value of Canadian and U.S. denominated assets deposited in that currency component of a New Account. U.S. dollar balances will be converted into Canadian dollars to determine eligibility.

e. Where a client opens multiple New Accounts, the Qualifying Assets will be calculated by combining the value of the assets transferred into the New Accounts that were opened within 90 days of opening of the first account. If a client opens New Accounts, the Qualifying Assets can only be deposited into the New Account. The client will only be eligible to claim a single Initial Transfer Award under the terms of the TD Direct Investing Alumni Offer.

3. Maintain the Qualifying Assets in the New Account(s) until 120 days (4 months) of opening of the first account:

a. If a client withdraws, deregisters, or transfers assets from their New Account(s) at any time within 120 days of opening of the first account following the transfer(s) of the Qualifying Assets (the "Qualification Period"), such amounts will be subtracted from the value of their Qualifying Assets. If such withdrawals, de-registrations, or transfers during the Qualification Period reduce the amount of the client's Qualifying Assets below $3,000, no Initial Transfer Award will be granted. Notwithstanding the foregoing, if assets are transferred into the account after 90 days of opening of the first account and do not form part of the Qualifying Assets, the value of those assets may be withdrawn without affecting the valuation of the Qualifying Assets.

b. Margin debit balances are permitted and will not be counted against the value of assets held on account.

The Initial Transfer Award for Qualifying Assets of:

$3,000 to $49,999 is $350
$50,000 to $99,999 is $450
$100,000 to $249,999 is $550
$250,000 to $499,999 is $750
$500,000 to $999,999 is $1,050
$1,000,000 to $1,999,999 is $2,050
$2,000,000+ is $5,050

Ongoing Transfer Award Details:

Clients are eligible to receive an Ongoing Transfer Award in the amount of $50 cash if they:

1. Qualify for the Initial Transfer Award.

2. Set up at least one Monthly Contribution Plan³("MCP") or Pre-Authorized Debit ("PAD") for transfer into at least one New Account, noting the minimum set up amount for a new MCP or PAD must be $100.

3. Complete the first MCP or PAD transfer within 90 days (3 months) of opening of first account.

A client may only claim a single Ongoing Transfer Award under the terms of this offer.

Further Terms and Conditions:

To receive an Initial Transfer Award and Ongoing Transfer Award, a client must keep the New Account open, funded and in good standing with TD Direct Investing until 180 days (6 months) of opening of the first account. Good standing requires that the New Account must not go into a debit position or into a margin call. Debit positions on margin accounts are acceptable.

A New Account that is a joint account refers to the cash or margin account that has more than one owner. The award is paid in full into the joint account and does not get allocated to each joint account owner.TD Direct Investing is not responsible for how the payout is distributed amongst joint account owners once the award is paid out.
For members of the same household who open New Accounts that include one or more joint accounts, a single Initial Transfer Award will be (a) calculated based on the sum total of Qualifying Assets deposited into the New Accounts and (b) paid into the New Accounts in proportion to the value of the Qualifying Assets deposited into the New Accounts.
A New Account that is a corporate account refers to the cash or margin account that has been opened by a limited corporation.
Interest, dividends, and account fees will be excluded from calculations used to qualify accounts.
The maximum total award per client for the initial transfer award and ongoing transfer award is $5,100 cash.

Terms of Award Payment:

The cash award will be paid in CAD to eligible new account(s) by the end of 6 months of opening of the first TD Direct Investing account.

For example,

An alumni member who does not have TD Direct Investing account opens 4 new DI accounts as following – first qualifying account on March 1; second qualifying account on April 10; third non-qualifying account on May 10, fourth qualifying account on June 1.
The alumni member then funds these accounts as following: $20,000 in first account, $40,000 in second account and $60,000 in third account within 90 days of opening of the first account, which in this case is May 29^th. The client funds $20,000 in fourth account.
This client will be paid $450 by August-end based on $60,000 cumulative funds in only first and second account because the type of 3rd account is not eligible for the offer and 4th account was opened after 90 days of opening the first account.
Any accounts that are opened after 90 days of openingof the first account, which in this scenario is May 29^th, will not be eligible for the cash award calculation.
If the client funds the qualifying account after 90 days of opening its first account, those funds will not be eligible for cash award calculation.

Where the client's Qualifying Assets are transferred to a single, joint or corporate New Account, the Initial Transfer Award portion of the award will be deposited into that account. Where the client's Qualifying Assets are transferred to multiple New Accounts the Initial Transfer Award portion of the award will be divided and deposited to each account in proportion to the value of the Qualifying Assets transferred into each account.

Where a client sets up or increases an MCP and/or PAD in multiple New Accounts, the Ongoing Transfer Award portion of the award will be divided and deposited into those accounts in proportion to the value of transfers into each New Account between the day(s) the MCP and/or PAD are created or increased to qualify, and 180 days (6 months) of opening of first account.
